This website (referred to as the “Site”) is operated by SoChok Skinlove LLC.  Throughout the Site, the terms “we,” “us,” and “our” refer to SoChok Skinlove LLC.  SoChok  Skinlove LLC presents the Site, including all information, tools, and services to you, the user, conditional upon you – the user’s – acceptance of all terms, conditions, policies, and notices presented here.  

Visiting the Site and/or making a purchase from SoChok Skinlove LLC, the user hereby engages in our “Service” and agrees to be bound by our terms and conditions (“Terms and Conditions,” or “Terms”), including policies herein referenced and/or made available via hyperlink.  The Terms and Conditions are appliable to all users of the Site, including without limitation users that browse, vendors, customers, merchants, and/or contributors of content/information. 

We strongly encourage the careful reading of all Terms and Conditions before use of the Site.  Accessing or use of any part of the site, results in the user’s agreement to be bound by the Terms and Conditions.  Use or access of the Site should not occur if there is any disagreement with any of the Terms and Conditions of this agreement.

Any additional features or tools that are added to the existing online store shall also become subject to the Terms and Conditions.  The most current version of the Terms and Conditions will be posted on this web page.  SoChok Skinlove expressly reserves the right to update, change, or replace any part of the Terms and Conditions, and will make such updates or changes directly to the Site.  It is the user’s responsibility to review this web page regularly for any changes.  Such continued use or access to the Site by the user following the posting of any changes, constitutes acceptance of such changes. 

SoChok Skinlove’s online store is hosted by Shopify Inc. 

ONLINE STORE TERMS
In agreement to the Terms and Conditions, the user represents that they are at least 18 years of age or that the user is the age of majority in the user’s state or province of residence and have given your consent to allow any of your minor dependents to use the Site.  Use of the Site is not permitted by minor children under the age of 18 years old.  Should the user be under the age of 18 years old, use of the Site is only permissible in conjunction with, and under the supervision of a parent or legal guardian over the age of 18 years old and who agrees to the Terms and Conditions. 

Use of SoChok Skinlove products for any illegal or unauthorized purpose is not allowed.  Transmission of any worms or viruses or any code of a destructive nature is also not allowed.  

Breach or violation of any of the Terms and Conditions will result in immediate termination of Services and/or may result in legal prosecution. 

GENERAL CONDITIONS
SoChok Skinlove LLC reserves the right to refuse service to anyone for any reason, at any time. 

User’s content (excluding credit card information) may be transferred unencrypted and involve (1) transmissions over various networks; and (2) changes to confirm and adapt to technical requirements of connecting networks or devices.  Credit Card information is always encrypted over networks.  Please see the SoChok Skinlove Privacy Policy for details about our personal information practices. 

User agrees not to reproduce, copy, duplicate, sell, resell, or exploit any part of the Service, use of the Service, or access to the Service or any contact on the website by which the service is provided, without the express written consent by SoChok Skinlove LLC. 

Headings used throughout this agreement are included for convenience and/or organization purposes only and thereby do not limit or otherwise affect the Terms and Conditions.

ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
SoChok Skinlove LLC is not responsible for information made available on the Site that may not be accurate, complete, or current.  Information provided on the Site is provided as general information and should not be relied upon or used as the only basis for decision making without consulting more accurate/complete/timely sources of information.  Any reliance upon the information provided on this site is done so at the user’s own risk. 

Historical information may be provided on the Site, and such information may be historical in that it is not current and/or is outdated and is provided as a reference only.  SoChok Skinlove LLC reserves the right to alter the contents of the Site at any time; it is the responsibility of the user to proactively monitor changes to the Site.

MODIFICATIONS TO SERVICES & PRICES

Prices and product offerings are subject to change without notice. 

SoChok Skinlove LLC reserves the right to change or discontinue Service at any time, without notice. 

SoChok will not be liable to the user or to any third-party user for any modification, price change, suspension, or discontinuance of Service. 

PRODUCTS
Some SoChok Skinlove products may be available only online through the Site.  Such products may have limited availability and are subject to return/exchange only in accordance with the Return Policy. 

Guarantee of user’s computer monitor’s display of color is not possible, therefore colors and images of our products may appear differently than in store. 

SoChok Skinlove LLC reserves the right, but is not obligated, to limit sales of our products to any person, geographic area, or jurisdiction.  This right may be exercised on a case-by-case basis.  We reserve the right to limit quantities of any products or services offered.  Descriptions of products or product pricing may be subject to change at any time without forewarning, at our sole discretion.  We reserve the right to discontinue any product at any time.  Any offer for any product or service on the Site is void where prohibited. 

SoChok Skinlove LLC does not warrant that the quality of any information, materials purchased, products, or services obtained by the user will meet the user’s expectations, or that any errors in the Service will be corrected. 

ACCURACY OF BILLING & ACCOUNT INFORMATION
SoChok Skinlove LLC reserves the right to refuse any purchase placed with us.  In our sole discretion, quantities may be limited or cancelled per person, per household, or per order.  Restrictions may include orders that are placed by or that are under the same customer account, same credit card, and/or orders that use the same billing/shipping address.  Should we make a change or cancel an order, we may make the attempt to notify you by using the email and/or billing address/phone number that was provided at the time the order was placed.  SoChok Skinlove LLC reserves the right to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors, in our sole judgement.

User agrees to provide current, complete, and accurate purchase & account information for all purchases made on the Site.  User agrees to provide updated account and all other information, including email address and credit card numbers and expiration dates, such that SoChok Skinlove LLC can complete user’s transactions and contact user as necessary.

SoChok Skinlove is not liable for harm or damages related to the purchase or use of goods/services/resources/content/transactions in relation with any third-party websites.  It is the user’s sole responsibility to carefully review the third-party’s policies and practices, before engaging in any transactions, Complaints/claims/concerns/questions regarding third-party products are to be directed to the third-party. 

USER COMMENTS, FEEDBACK, & OTHER SUBMISSIONS
If, upon the request of SoChok Skinlove LLC, user emails or submits specific submissions (i.e. contest entries, photos, attachments) or without the request from SoChok Skinlove LLC, you send creative ideas, suggestions, proposals, plans, and/or materials, whether online, by email, postal mail, or otherwise (encompassing, “comments”), user agrees that SoChok Skinlove LLC may, at any time, without restriction, edit/copy/publish/distribute/translate, and/or otherwise use in any medium any comments that user forwards to us.  SoChok Skinlove LLC is and shall be under no obligation to a) maintain any comments in confidence; b) pay compensation for such materials/ ideas/ suggestions/ proposals/ plans/ comments; c) respond to such materials/ ideas/ suggestions/ proposals/ plans/ comments. 

We may, but are under no obligation, to monitor/ edit/ remove content that is determined by our sole discretion as being unlawful/ offensive/ threatening/ libelous/ defamatory/ pornographic/ obscene and/or otherwise objectionable or violates any party’s intellectual property or our Terms of Service. 

User agrees that user’s comments will not violate any right of any third-party, including copyright/ trademark/ privacy/ personality, and/or other personal/proprietary right.  User further agrees that user’s comments will not contain libelous or otherwise unlawful, abusive, or obscene material, and/or contain any computer virus or malware that could affect the operation of the Service or any related website, in any way.  User is not permitted to use a false e-mail address, pretend to be someone other than the user, or otherwise mislead SoChok Skinlove LLC or third-parties, as to the origin of any comments/materials/ideas/suggestions/proposals/plans.  User is solely responsible for any comments made and the accuracy of such information.  SoChok Skinlove LLC takes no responsibility and assumes no liability for any comments posted by the user or any third-party.

ERRORS, INACCURACIES & OMISSIONS
On occasion, information on the Site or in our Services might have typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability.  SoChok Skinlove LLC reserves the right to correct such errors/inaccuracies/omissions, and to change or update information or cancel orders if any information in the Service or on our related Site is inaccurate at any time without prior notice (including after an order is submitted).  

SoChok Skinlove LLC accepts no obligation to update, amend, or clarify information in the Service or any related website, including without limit, pricing information, except as required by law.  No specific update or refresh date applied in the Service or any related Site should be accepted to indicate that all information in the Service or on any related website has been modified or updated.

PROHIBITED USES
In addition to the other prohibitions stated in the Terms and Conditions, user is prohibited from using the Site or its’ content: 1) for any unlawful purpose; 2) to solicit others to perform or participate in unlawful acts; 3) to violate any international/ federal/ provincial / state regulations/  rules/ laws/ local ordinances; 4) infringe upon or violate SoChok Skinlove LLC’s intellectual property rights or the intellectual property rights of others; 5) to harass/ abuse/ insult/ harm/ defame/ slander/ disparage/ intimidate/ discriminate based on gender/ sexual orientation/ religion/ ethnicity/ race/ age/ national origin/ disability; 6) to submit false or misleading information; 7) to upload or transmit viruses or other type of malicious code that does or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; 8) to collect or track the personal information of others; 10) to spam/ phish/ pharm/ pretext/ spider/ crawl/ scrape; 11) for any obscene or immoral purpose; 12) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet.  SoChok Skinlove LLC reserves the right to terminate your use of the Service or any related website for violating any of the prohibited uses. 

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
SoChok Skinlove LLC does not guarantee, represent, or warrant that user’s use of our service will be uninterrupted, timely, secure, or error-free. 

We do not warrant results that may be obtained from the use of the service will be accurate or reliable. 

User agrees that from time to time, SoChok Skinlove LLC may remove the service for indefinite periods of time or cancel the service at any time, without notice to user.

User expressly agrees that your use of, or inability to use, the service is at your sole risk.  Service and all products and services delivered to the user through the service are (except as expressly stated by SoChok Skinlove LLC) provided as an “as is” and “as available” for your use, without representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. 

There shall be no case that SoChok Skinlove LLC, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss of damage of any kind incurred as a result of the use of the service or any content (pr product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.  

INDEMNIFICATION
User agrees to indemnity, defend and hold harmless SoChok Skinlove LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, harmless from any claim or demand, including reasonable solicitors’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. 

SEVERABILITY
In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.

TERMINATION
All obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

The Terms and Conditions are effective unless and until terminated by either SoChok Skinlove LLC or by you, the user.  User may terminate these Terms and Conditions at any time by notifying SoChok Skinlove LLC that you no longer wish to use our Services, or when you cease using the Site. 

If in SoChok Skinlove LLC’s sole judgement you fail, or we suspect that you have failed, to comply with any terms or provisions of these Terms and Conditions, we may also terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly we may deny you access to our Services (or any part thereof). 

ENTIRE AGREEMENT
Failure of SoChok Skinlove LLC to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions and any policies or operating rules posted by us on the Site or in respect to the Service constitutes the entire agreement and understanding between you (the user) and SoChok Skinlove LLC and govern user’s use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms and Conditions).

Any ambiguities in the interpretation of the Terms and Conditions shall not be construed against the drafting party. 

GOVERNING LAW; DISPUTE RESOLUTION
The Terms and Conditions and the SoChok Skinlove LLC website are governed by the laws of the United States of America and the State of California   ANY DISPUTE RELATING IN ANY WAY TO YOUR USE OF THE SITE, THESE SITE TERMS AND CONDITIONS, OR THE RELATIONSHIP BETWEEN THE PARTIES (OTHER THAN CLAIMS RELATING TO THE INTELLECTUAL PROPERTY RIGHTS OF SOCHOK SKINLOVE LLC OR ITS PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS OR LICENSORS OR CLAIMS IN EQUITY) SHALL BE SUBMITTED TO CONFIDENTIAL ARBITRATION IN CALIFORNIA AND YOU AGREE TO SUBMIT YOURSELF TO THE JURISDICTION AND PROCEEDINGS THEREOF.  ARBITRATION MEANS THAT AN ARBITRATOR(S) WILL DECIDE THE CLAIM, AND YOU WILL NOT HAVE THE RIGHT TO SUE IN COURT OR TO HAVE A JUDGE OR JURY DECIDE YOUR CLAIM. YOUR RIGHTS TO PREHEARING EXCHANGE OF INFORMATION AND APPEALS MAY ALSO BE LIMITED IN ARBITRATION.   It is further agreed that any dispute over the scope of this arbitration provision and any dispute as to whether a claim is arbitral shall be submitted to the arbitrator for decision.  

Notwithstanding the foregoing, to the extent you have in any manner violated or threatened to violate our intellectual property rights or the intellectual property rights of our affiliates, partners or licensors or otherwise have a cause of action in equity, we may seek injunctive or other appropriate relief in any court of competent jurisdiction and you consent to jurisdiction and venue in any such court for such purposes. Arbitration under this agreement shall be conducted under the Consumer-Related Disputes Supplementary Rules then prevailing with the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. 

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually, and (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

User can view the most current version of the Terms and Conditions at any time, upon this page. 

SoChok Skinlove LLC reserves the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to the Site.  It is the user’s responsibility to check the Site periodically for changes.  User’s continued use of or access to the Site or the Service following the posting of any changes to these Terms and Conditions constitutes acceptance of such changes.
